Simply Meet — Terms of Service

These Terms of Service ("Terms") form a binding contract between you and LEGAL-REVIEW: Legal entity name and entity type, e.g. Fulcrologic, LLC, a Michigan limited liability company ("Simply Meet," "we," "us," or "our") governing your use of the Simply Meet application, website, and related services (together, the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

  1. At least 18 years old. Simply Meet is an adult dating and social service and is not offered to anyone under 18.
  2. Legally able to enter into a contract in your jurisdiction.
  3. Not currently barred from the Service under any prior termination.
  4. Not a person against whom U.S. sanctions or the sanctions regime of your jurisdiction apply.

If we learn that an underage person has created an account, we will terminate it and delete the data per our Privacy Policy.

2. Your account

2.1 Account creation

You must provide accurate information when creating an account, including a working email address and a date of birth that confirms you are 18 or older. Do not create more than one account for yourself. Do not create an account on behalf of another person.

2.2 Account security

You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity under your account. Notify us immediately at security@simplymeet.world if you believe your account has been compromised.

2.3 Account termination by you

You may delete your account at any time from inside the app: Profile → Delete Account. Deletion is final; see the Privacy Policy for what we retain and for how long.

2.4 Termination by us

We may suspend or terminate your account with or without notice if:

Where feasible and not legally restricted, we will give you a chance to appeal termination by replying to the termination notice.

Any member can report any other member from a profile, from a chat message, or from an event listing. Reports go to our admin queue for review.

Report categories: harassment; explicit content; threats or violence; illegal content; spam or scams; underage user; impersonation.

4.3 Blocking and hiding

You can hide any member from your view of the Service. Hidden members do not appear in your search results, suggestions, or event lists. They cannot initiate contact with you.

Simply Meet is an introduction service. When you choose to meet another member in person, you do so at your own risk. We encourage you to:

5. Payments and credits

5.1 Credits

The Service is free to download and browse. Sending introductions and RSVPing to events uses "credits" that you purchase through Apple's App Store (iOS) or Google Play (Android).

5.2 Credit pricing

Credit prices and bundle sizes are shown in the app at the time of purchase. All purchases are processed by the app store, subject to its terms.

5.3 Non-expiring credits

Credits you purchase do not expire. We track credit balance by your email address, so credits persist even if you delete and re-create your account with the same email.

5.4 Event escrow and refunds

For date events and member-hosted events, a credit is consumed on RSVP. The credit is held in escrow and is refunded automatically if:

If you RSVP and then do not attend, the credit is not refunded.

5.5 Other refunds

All other refund requests are handled by the app store from which you purchased. Apple and Google have their own refund policies. We do not issue direct cash refunds for credits.

5.6 Payouts to referrers

Approved referrers earn revenue-share kickbacks on purchases their referred members make. Payouts are subject to the Referrer Agreement and are made through Stripe Connect. Tax withholding is applied as required by law (US 1099 / international W-8 regimes).

6. Content you provide

6.1 Ownership

You keep all ownership rights in the content you post (photos, messages, profile text, event descriptions).

6.2 License to us

By posting content, you grant Simply Meet a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, adapt for moderation, and distribute that content strictly for the purpose of operating the Service for you and the members with whom you interact. Specifically, this licence lets us:

The licence ends when you delete the content, except for copies retained in backups (rotated out within the 7-business-day deletion window) and except for content that we are legally required to retain (e.g., copies of content that was subject to a moderation report).

6.3 No broader use

We do not use your content for advertising, for training third-party AI models, or for any purpose outside operating the Service.

7. Intellectual property

The Simply Meet name, logo, app, and website (other than content users post) are owned by LEGAL-REVIEW: legal entity name and protected by copyright, trademark, and other intellectual-property laws. You may not use our marks without written permission.

8. Third-party services

The Service integrates with third parties (Apple, Google, Stripe, AWS, Firebase, and a moderation LLM provider — see the Privacy Policy). Your use of those third parties is governed by their own terms. We are not responsible for them.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLY MEET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SIMPLY MEET IS AN INTRODUCTION SERVICE. WE DO NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON MEMBERS. WE DO NOT GUARANTEE THE TRUTHFULNESS OF INFORMATION MEMBERS PROVIDE. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER MEMBERS, INCLUDING IN-PERSON MEETINGS.

LEGAL-REVIEW: Some jurisdictions do not allow these disclaimers. Counsel should add local-law carve-outs.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLY MEET AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE SIX MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

11. Indemnity

You agree to indemnify and hold Simply Meet harmless from any claim, damage, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your violation of these Terms, (c) content you post, or (d) your interaction with any other member.

12. Dispute resolution

LEGAL-REVIEW: Counsel must select ONE pattern below and delete the other.

Option A — US arbitration: Any dispute arising out of these Terms or the Service will be resolved by binding individual arbitration administered by LEGAL-REVIEW: JAMS or AAA under its Consumer Arbitration Rules. Arbitration will take place in LEGAL-REVIEW: county, state. Neither party may bring a class action, consolidated proceeding, or representative action. If this class-action waiver is found unenforceable, the rest of §12 is void and jurisdiction falls to the courts of LEGAL-REVIEW: venue.

Option B — EU / UK: You may bring proceedings in the courts of the country where you are domiciled or in LEGAL-REVIEW: venue. Nothing in these Terms restricts consumer rights conferred by mandatory local law.

13. Governing law

These Terms are governed by the laws of LEGAL-REVIEW: governing-law jurisdiction.

14. Changes to these Terms

We may update these Terms. For material changes, we will notify active accounts by email and post an in-app notice at least 30 days before the change takes effect. Continued use after the effective date means you accept the updated Terms. If you do not agree, you may delete your account before the effective date.
